MindClick Terms of Use

1) Acceptance of Terms

By creating an account, downloading, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2) Who May Use the Services

You must be at least 13 years old (or the age required in your country) to use the Services. If you are under the age of majority, you represent that you have consent from a parent or guardian.

3) Description of the Services

MindClick provides software that analyzes keystroke dynamics to surface non-clinical wellbeing indicators. This analysis is performed when you are prompted by the application to type a short, specified sentence. We do not record the content of what you type, and we do not monitor your general typing activity outside of these guided check-ins.

4) Not Medical Advice; Emergency

MindClick is not a medical device and does not provide medical, psychological, or psychiatric advice, diagnosis, or treatment. The Services are informational only. Seek professional advice before making decisions related to your health or wellbeing. If you believe you may harm yourself or others, or are in crisis, call local emergency services immediately (e.g., 112/911/988 in applicable regions).

5) Accounts and Security

You are responsible for all activity under your account and for safeguarding your credentials. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose security risks.

6) License and Acceptable Use

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the apps and Services for your personal or authorized organizational use. You will not:

  • reverse engineer, decompile, or attempt to derive source code;
  • bypass or interfere with security or access controls;
  • upload malware or abuse the Services;
  • use the Services to create competing datasets or models;
  • resell, lease, or sublicense the Services without our written consent.

7) User Content

We generally do not collect the textual content you type. If you submit content (e.g., feedback, profile name, avatar), you grant MindClick a worldwide, royalty-free, sublicensable license to use, reproduce, and display that content solely to operate and improve the Services.

8) Subscriptions, In-App Purchases, and Billing

Paid features may be offered on a subscription basis. If you purchase via Apple In-App Purchase, billing and refunds are governed by Apple’s terms and policies; MindClick does not access your full payment card details. Taxes may apply. We may change prices with reasonable notice, and such changes take effect at the start of the next billing period unless you cancel beforehand.

9) Software; Updates; Beta

The Services may automatically download and install updates. Certain features may be labeled Beta or Preview; they are provided “as is”, may be modified or discontinued at any time, and may be subject to additional terms.

10) Ownership

The Services, including software, models, designs, and content are owned by MindClick and its licensors and are protected by intellectual-property laws. Except for the limited license in Section 6, no rights are granted by implication or otherwise.

11) Third-Party Services

The Services may integrate with third-party products. Your use of those products is subject to their terms and privacy policies. We are not responsible for third-party products.

12) Privacy

Our Privacy Policy describes how we collect and use information. By using the Services, you consent to such processing and you agree to comply with applicable data-protection laws when you provide us with personal data.

13) Service Changes; Availability

We may modify, suspend, or discontinue the Services (in whole or part) with notice where practicable. We are not liable for any unavailability or modification.

14) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINCLICK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINCLICK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNTS YOU PAID TO MINCLICK FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

16) Indemnification

You will defend, indemnify, and hold harmless MindClick and its affiliates, officers, employees, and agents from any claims, losses, and expenses (including attorneys’ fees) arising from (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any law or third-party rights.

17) Term; Termination

These Terms remain in effect until terminated. You may stop using the Services at any time and may delete your account. We may suspend or terminate your access if you materially breach these Terms or pose a risk to the Services or others. Upon termination, the license in Section 6 ends and you must cease use.

18) Export Controls

You will comply with applicable export and sanctions laws and will not use the Services in prohibited jurisdictions or for prohibited purposes.

19) Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The exclusive jurisdiction and venue for disputes arising out of or relating to the Services or these Terms are the state and federal courts located in Delaware, and you consent to their personal jurisdiction.

20) Changes to Terms

We may update these Terms from time to time. Changes are effective when posted, with the “Effective Date” above updated. If changes are material, we will provide notice via the app or email where practicable. Your continued use after changes become effective constitutes acceptance.

21) Miscellaneous

  • Assignment: You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or asset sale.
  • Severability: If a provision is unenforceable, the remainder remains in effect.
  • Waiver: A failure to enforce is not a waiver.
  • Force Majeure: We are not liable for events beyond our reasonable control.
  • Entire Agreement: These Terms and any referenced policies (including the Privacy Policy) are the entire agreement between you and MindClick regarding the Services.
